Vancouver Animal Rescue Society
A Not-for-Profit Organization

Pursuant to the Society Act, the undersigned hereby adopts and executes the following Constitution for the Vancouver Animal Rescue Society, a nonprofit organization, which is adopted by the Directors as follows:

Article I: The name of the society is the Vancouver Animal Rescue Society,a nonprofit organization, which may be abbreviated VARS, as may be convenient or appropriate.

Article II: The Society is a not-for-profit organization and as such shall not issue or transfer any shares of stock, but shall act in every other accord as a society under the Society Act and this Constitution.

Article III: The duration of the Society shall be perpetual.

Article IV: The street address of the initial registered office is ________________________, email _______________ and the name of the initial registered agent at that office is ___________________ .

Article V: The names and addresses of the initial Directors are as stated on Form 4 (Section 3) of the Society Act, List of First Directors, and are as follows:

Article VI: The mission of the society includes promoting and fostering all those activities, works and objectives as related to animal rescue and sanctuary and includes, but is not limited to, the following purposes and goals:

1. To conduct and engage in the rescue of homeless, neglected, abused or wild animals or domesticated animals and provide care, food, shelter, medication, veterinary services, sanctuary or other health and welfare services as necessary for animals, their owners and/or the community and public at large;

2. To foster education, training, instruction and/or guidance as related to: the rescue of animals; the responsible and humane care and treatment of animals, the rescue, spay, neuter, and adoption of animals; and all other services or operations as related to the humane rescue and sanctuary for animals, domestic or wild;

3. To maintain a network of people, businesses, and organizations, working together to advance the rescue and sanctuary of animals which may also include using the Internet to advertise and promote the rescue and sanctuary of animals;

4. To focus efforts on establishing, maintaining, and operating an animal rescue and sanctuary, which may include, but is not limited to, providing an office, facilities, animal shelter, animal sanctuary, mobile animal rescue vehicles or units, and all other properties, equipment, vehicles, or other resources which may necessary for the operation and conduct of animal rescue and sanctuary.

5. To organize, conduct or and foster educations programs, training, workshops, publications, networking, co-operative developments and programs, exchange programs, or other activities and events as may relate to animal rescue and sanctuary;

6. To foster international relations and co-operative efforts, sponsorship, funding, awareness, relationship building, grant acquisition, and development and implementation of projects and programs related to the rescue and sanctuary of animals so as to achieve a better quality of life for both people and animals throughout the nation and the world;

7. To engage in any and all other activities, business, efforts, or enterprise which is legal and/or necessary for the conduct of an animal rescue and sanctuary business and achievement of these purposes and goals.

Article VII: The society is to be managed by a Board of Directors and conduct business in accord to the bylaws which are those set out in Schedule B to the Society Act. The initial Board of Directors are as specified in Form 4 (Section 3) of the Society Act and reiterated in Article V and shall serve until a successor is designated, appointed, elected or established as per the bylaws.

Article VIII: Membership in the society shall be open to all people who are in sympathy with the mission, purposes and goals of the society; membership shall consist of the President, Vice-President, Secretary, Treasurer, (Secretary and Treasurer may be combined), or other Officers, and all contributing members who have paid annual membership dues or fees and/or made an equivalent or greater donation of in kind services, property, work, or other donation.

Article IX: The society shall not discriminate based upon race, religion, national origin, ethnic group, sex, or physical or mental disability or impairment.

Article X: Said society is organized exclusively for charitable, religious, educational, humanitarian, and scientific purposes and may file as a charitable organization with the The Canada Revenue Agency; and shall act to meet all requirements of the law and the Society Act with respect to filing Annual Report or meeting any tax obligations.

Article XI: No part of the net earnings of the society shall inure to the benefit of, or be distributed to its directors, members, trustees, officers, or others private persons, except that the society shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof. No substantial part of the activities of the society shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the society shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office.

Article XII: Upon the dissolution of the society, its assets shall be distributed for one or more purposes of the organization, or shall be distributed to as permitted by the Society Act, for a public purpose. Any such assets not disposed of shall be disposed of by the Court, administrative government officials, or agencies having this responsiblity and jurisdiction, exclusively for such public purposes or to such societies or organizations having been organized exclusively for public purpose, as said Court, administrative government officials or agencies having jurisdiction in this matter shall determine, deem and so order.

Article XIII: Any provision that is not inconsistent with the law for the regulation of the internal affairs of the Society is permitted by the Society.

Article XIV: At no time shall the directorss, members of the board of directors, officers of the society, or members of the society incur or encumber any personal debts or liability for the society; the directors, members of the board of directors, officers, or other members of the society are not to incur or encumber any personal debts or liability for the acts, deeds, hurt, harm, damages, or any other liability whatsoever, real or imagined, with respect to the society which is solely responsible for all acts of the society.

Article XV: For legal and tax purposes the society shall use the date of certification of the society by the Minister of Finance, Corporate Registra.
