The following is a draft proposal for the Articles of Incorporation: I Love Quitman Volunteers for Community Development. Address information and/or other changes may be made prior to submitting this document to the State of Mississippi. Members of the community who would like to be considered for listing as Founding Members should contact Terry Lynch and provide your address, telephone number and email address, if applicable. Also everyone who is interested is welcome to share any ideas or opinions with respect to this matter. Thank you for your interest and consideration.

A Not-for-profit Corporation

Article I: The name of the corporation is I Love Quitman Volunteers for Community Development.

Article II: The duration of the corporation is perpetual.

Article III: The corporation has as its purpose community development, promotion, support, improvement and generally working to help the community, its citizens, children, families, groups and organizations for the general health, education and welfare of all.

Article IV: The members of the corporation are all persons in sympathy with the purpose. All matters with respect to memberships are to be set forth and defined in the bylaws.

Article V: The street address of registered office is:___________ and the name of the registered agent at that office is Terrence A. Lynch.

Article VI: The directors are: (1) Terrence A. Lynch of ________ (2) _______ of ______ and (3) _________of __________.

Article VII: The incorporator is Terrence A. Lynch of _____________.

Article VIII: The corporation may conduct any business or activities that are lawful and permitted under incorporation and as is defined or set forth in the bylaws.

Article IX: The corporation will not discriminate against anyone based upon race, religion, ethnic or national origin, sexual orientation, or mental or physical impairment or disability.

Articles X: Upon dissolution the assets of the corporation shall be disposed of as required by Code of Mississippi; all the assets remaining after payment of any outstanding liability shall be transferred to (a) one or more organizations which are exempt from Federal income taxation as organizations described in the Internal Revenue Code of 1986, section 501(c) (3), or the corresponding provisions of any other or future United States internal revenue law, or (b) the Federal, State of Mississippi, or any local government to be used exclusively for public purposes.
